  1. A foreign professional limited liability company may not transact business in this state until it obtains a certificate of authority from the Secretary of State.
  2. A foreign professional limited liability company may not obtain a certificate of authority unless:
    1. Its name satisfies the requirements of Section 79-29-908;
    2. It is formed for one or more of the purposes described in Section 79-29-904; and
    3. All of its members would be qualified persons if the foreign professional limited liability company were a domestic professional limited liability company.
