(1) Each director shall take an oath or affirmation in accordance with section 24-12-101.

  1. Upon taking the oath, the board shall choose one of its number chairman of the boardand president of the district and shall elect some suitable person secretary of the board and of the district who may or may not be a member of the board. Such board shall adopt a seal and shall keep in a visual text format that may be transmitted electronically a record of all of its proceedings, minutes of all meetings, certificates, contracts, bonds given by employees, and all corporate acts, which shall be open to inspection of all owners of property in the district as well as to all other interested parties.

  2. Each member of the board shall receive as compensation for the member's servicesuch sum as shall be ordered by the court, not in excess of two thousand four hundred dollars per annum, payable monthly, and necessary traveling expenses actually expended while engaged in the performance of the member's duties.

  3. All special and regular meetings of the board shall be held at locations which arewithin the boundaries of the district or which are within the boundaries of any county in which the district is located, in whole or in part, or in any county so long as the meeting location does not exceed twenty miles from the district boundaries. The provisions of this subsection (4) may be waived only if the following criteria are met:

  1. The proposed change of location of a meeting of the board appears on the agenda of aregular or special meeting of the board; and

  2. A resolution is adopted by the board stating the reason for which a meeting of theboard is to be held in a location other than under the provisions of this subsection (4) and further stating the date, time, and place of such meeting.
